Representing Corporate Clients

One of the most exciting challenges is getting to know the activities and operations of a company, the rules and regulations of a specific market sector, mapping the typical legal issues and problems, and then solving them effectively.

Representing corporations include drafting, reviewing, and negotiating contracts necessary to conduct business, performing tasks concerning company law, creating and updating employment policies and regulations, answering various questions arising during the operation of the company and also resolving disputes.

Employment Law

With the exception of individuals who live isolated lives, employment law issues arise in the lives of almost every person. Most people are employed or do their daily work in other similar legal relationships.

As an employee, there may be a number of situations where legal assistance is required: reviewing a new employment contract when changing jobs; on termination of employment, verification that the employer is fulfilling its obligations; in the event of a dispute concerning working time, wages and benefits, clarification of exactly what rights the employee is entitled to.

For an employer, perhaps even more importantly, work should proceed based on a clear and unambiguous set of rules, which is predictable for the employees as well. The success of any company is based on the mental and physical well-being of those who work for it, who can do their job as a team, without unnecessary disputes and tensions, under the same rules and being treated equally. This requires a well-considered, uniform system of employment contracts and regulations (employment contract, job description, work schedule, home office, benefits, bonus, leave, studies, fringe benefits, etc.) and, if there is still a dispute, mediation comes first, then, if it is further necessary, fair but decisive measures should be taken in an employment lawsuit.

Real Estate Law

International surveys show that real estate has a prominent role in people’s lives in Hungary. While in other countries it is common for a significant proportion of citizens to have no real estate of their own throughout their life, in Hungary, traditionally and typically, the main goal and the most valuable asset is their own house or flat. Decisions concerning real estate, whether selling, leasing, renting or donating it, have significant, usually long-term consequences, hence it is important that these transactions are based on contracts that both protect the parties involved and  cover all important details.

Within this field we deal with drafting, reviewing and negotiating sale and purchase, lease, purchase option, beneficial ownership, collateral agreements and also deeds of gift, furthermore, we represent clients in procedures relating to the foregoing agreements before public authorities or government agencies.

Corporate Law

The common framework for entrepreneurial activity is operating single member or multiple member companies. The operation of any company starts with its establishment. Later, the company can go through many changes: owners come and go, managers are replaced, capital needs to be raised, the form of the company might change, a successful company may be taken over, it can enter new markets, legal disputes may arise between owners and managers and one must adapt to the ever-changing legal environment as well.

Within this area we deal with establishing, restructuring and dissolving companies, drafting and reviewing company documents, representing our clients before the company registry, preparing and negotiating strategic alliance and other cooperation agreements, and also in case of disputes representing clients in corporate litigation.

Contracts

There is not one person who has not already entered into a contract, even if he does not know about it. There are two essential purposes of a contract. Firstly, to make everyone involved aware of their rights and obligations, and secondly, if a dispute arises, to have a document which gives the client guidance in order to resolve the dispute. Not all agreements need to be in writing, however, where it is justified by certain elements, i.e. the subject and content of the contract, the identity of the parties or the degree of risk involved, it is important that we do not rely only on our memories, but it should be specified in detail what the parties agreed on.

Any agreement can be included in a contract, therefore it is impossible to give a comprehensive list of all types of contracts, but we deal with the following types of agreements on a regular basis:

  • brokerage agreements
  • distribution agreements
  • personal care agreements
  • sale and purchase agreements
  • lease agreements
  • transportation agreements
  • agency agreements
  • independent contractor agreements
